Terms of Service

1. Agreement to Terms

By accessing or using Magnet Pro ("the Service"), operated by Ochsz Holdings Limited ("Magnet", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

You must be at least 18 years old to use Magnet Pro.

2. Description of Service

Magnet Pro is an Instagram growth automation platform that helps users grow their Instagram following through automated, targeted engagement actions including follows, likes, story views, comments, and direct messages.

The Service consists of three subscription tiers:

• Social IQ Plus — $99/month: Manual playbook with competitor analysis and growth strategy
• Magnet Pro — $299/month: Full automation with 5-day free trial
• Magnet Turbo — $399/month: Premium automation with maximum daily action volume

Annual billing is available on all plans (10 months for the price of 12).

3. Account Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Providing accurate Instagram account credentials when connecting your account

4. Instagram Account Connection

By connecting your Instagram account to Magnet Pro, you authorize us to perform automated actions on your behalf in accordance with the targeting and automation settings you configure.

Important risk acknowledgment: Instagram's Terms of Service prohibit certain forms of automation. Use of any third-party automation tool, including Magnet Pro, may result in your Instagram account being temporarily restricted, shadow-banned, or permanently disabled by Instagram. By using the Service, you acknowledge and accept this risk.

We do not guarantee that Instagram will not take action against your account, and we are not liable for any consequences resulting from Instagram's enforcement of their policies.

5. Subscription, Billing, and Trials

5.1 Subscription Terms

Magnet Pro is offered on a recurring subscription basis. By subscribing, you authorize us to charge your payment method on a monthly or annual basis until you cancel.

5.2 Free Trial (Magnet Pro plan only)

The Magnet Pro plan includes a 5-day free trial. Payment information is required at signup. If you do not cancel before the trial ends, you will be automatically charged the full subscription price ($299/month) on day 6.

5.3 Discount Codes

Discount code "100off" applies $100 off your first month of Magnet Pro or Magnet Turbo. This code is not valid on Social IQ Plus, on annual plans, or on subsequent billing cycles.

5.4 Cancellation

You may cancel your subscription at any time through the customer portal. Cancellation takes effect at the end of the current billing period; you will retain access until then. We do not issue prorated refunds for partial periods.

5.5 Refund Policy

All sales are final and non-refundable except as required by applicable law. See our Refund Policy for details.

5.6 Failed Payments

If a payment fails, we will attempt to charge your payment method again over a 7-day period. If all attempts fail, your subscription will be paused until payment is updated.

6. Acceptable Use

You agree NOT to use Magnet Pro to:

• Violate any applicable laws or regulations
• Promote spam, scams, hate speech, harassment, or illegal content
• Impersonate other persons or entities
• Infringe upon any third party's intellectual property rights
• Send unsolicited commercial messages outside the scope of authorized targeting
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to compete with us or build a competing product

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

7. Intellectual Property

All content, features, and functionality of Magnet Pro — including but not limited to text, graphics, logos, code, algorithms, and software — are the exclusive property of Ochsz Holdings Limited and its licensors and are protected by international copyright, trademark, and other intellectual property laws.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee:

• Any specific number of new followers
• Uninterrupted or error-free operation
• That the Service will meet your specific requirements
• The accuracy of any growth projections, percentile rankings, or analytics
• That Instagram will not take action against accounts using automation

9. Limitation of Liability

To the maximum extent permitted by law, Ochsz Holdings Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from or related to your use of the Service.

In no event shall our total liability exceed the amount you paid us in the 12 months prior to the event giving rise to the claim.

10. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

11. Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately, and we may delete your data after 90 days.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Missouri, without regard to conflict of law principles. Any disputes shall be resolved in the courts of St. Louis County, Missouri.
